When the going gets tough
Following our advice, the company responded
fast in appointing a highly effective chief executive who
quickly gained the trust of investors, customers and employees.
We suggested a company reorganization to clarify accountability,
formed new strategy with the involvement of all departments and
instituted new procedures for quality assurance and performance
monitoring.
Getting on
Board
We also turned our attention to the company’s
corporate governance. Our initial response was to turn their
casual approach on performance into commitment to strategy. We
drafted the corporate governance charter and created board
committees with specialized tasks. Two years on, the board
increased its meetings, followed through the company’s
performance and increased the value of the shareholders by more
than 60%.

In search of a
balancing act
Increasing accountability is currently
required to meet regulatory and market demands for good
corporate governance. The board should possess a collective
balance of skills and expert knowledge commensurate with the
complexity of the organization and duties performed without
compromising its fundamental duties and responsibilities to the
shareholders. Within a few months the board arrived at the
desired level of balance with clarified other board related
issues that where introduced to us. In less than a year the
board is reporting superb performance and responding effectively
to the new challenges of competition and growth.
